Confidentiality Agreement

1. MBA agrees to provide Customer with Confidential Information about properties represented by MBA Hotel Brokers Inc., and Co-Broker as applicable,subject to the following terms and conditions, to which Customer hereby agrees. MBA, and Co-Broker as applicable, represents the seller in this transaction. Materials on all listings furnished remain the property of MBA and Customer agrees to return all materials and information on properties to MBA upon MBA’s request, or to destroy the information if so requested.

2. Customer is not an Agent or broker, will not look to MBA for any fees or commissions, and is not working with another broker on properties introduced by MBA. Customer recognizes MBA as the procuring cause with respect to properties introduced by MBA, and Customer will honor the agency relationship between MBA and seller.

3. This agreement creates no obligation for Customer to pay a commission to MBA, as MBA represents and is paid by the Sellers unless otherwise agreed in writing.

4. Customer acknowledges that disclosure to others of the Confidential Information could result in great financial harm to the sellers and to MBA, and Customer agrees not to discuss, reproduce, share or in any other fashion divulge any of the Confidential Information so provided to any other party, except to Customer’s partners, employees, legal counsel and institutional lenders for the purpose of evaluating potential purchase of the properties, without express prior written consent of MBA and owner.

5. No warranty or representation as to the accuracy or completeness of any information provided is made by MBA. The information provided is not intended as a substitute for independent due diligence and analysis by Customer. Information provided is for guidance only and does not constitute all or any part of a contract.

6. Customer further agrees not to contact owners of such property, nor any employees, Management Company, franchise company, guests or business associates of the Property owner without prior express consent of MBA Hotel Brokers. Properties are offered without regard to race, creed, sex, religion, national origin or any other class so protected by law.
